5. PROCEDURES
1. The Seller sends this Sales and Purchase Agreement (SPA) to the Buyer for review and
acceptance.
2. This SPA is signed by the Buyer and returned to the Seller.
3. This SPA is binding and becomes a legal agreement between the parties, being the main sales
and purchase agreement for the transactions provided for in this Agreement.
4. After the contract is signed by the Buyer and the Seller, the Buyer's representative checks the
goods and carries out an inspection by SGS, Alex Stewart International, at the private customs
warehouse specified by the Seller.
5. After checking the cargo and documentation, the Buyer pays the cost of the cargo in the
amount of 100% using the MT103 form directly to the bank account of the Seller's company,
6. The Seller, using its carrier, delivers the goods from the warehouse in Zambia to the port of
Durban to the Buyer's warehouse. Alternatively, the Buyer can pick up the goods with its
logistics company. The import documents for the Buyer will be issued within three days.
7. The Buyer can arrange for the inspection of the goods by SGS, Alex Stewart International,
at the warehouse in Durban.
9. Ownership of the goods passes from the moment of payment at the warehouse, after the
documents are issued.
10. The Seller undertakes to deliver a trial batch of 1,000 tons of goods on EXW terms.
11. After delivery of the trial batch, the Seller undertakes to make monthly deliveries of 5,000-
10,000 tons over the next 12 months in accordance with the delivery schedule.

• Certificate of Quality and Quantity (SGS or equivalent)
